These Terms & Conditions govern all interactions, projects, purchases, and services between FreelanceWithDepu and its clients.

2. Acceptance of Terms

By using this website, submitting an inquiry, requesting a quotation, making a payment, or engaging our services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

3. Services Offered

FreelanceWithDepu may provide one or more of the following services:

  • Landing Page Design

  • UI/UX Design

  • Graphic Design

  • Logo Design

  • Brand Identity Design

  • SEO Services

  • Google Ads Management

  • Meta Ads Management

  • Custom Development Solutions

Additional services may be offered through separate agreements.

4. Project Proposals and Scope

All projects begin with a discussion regarding requirements, objectives, deliverables, timeline, and pricing.

Any proposal, quotation, invoice, email confirmation, or written agreement provided by FreelanceWithDepu shall define the project scope.

Requests beyond the approved scope may require additional charges and revised timelines.

5. Client Responsibilities

The client agrees to:

  • Provide accurate information.

  • Supply required content, images, branding materials, and assets.

  • Respond to requests in a timely manner.

  • Review submitted work within reasonable timeframes.

  • Obtain legal rights to any content supplied to us.

Delays caused by the client may affect project timelines and delivery dates.

6. Payments and Billing

Unless otherwise agreed:

  • 50% advance payment is required before work begins.

  • The remaining payment must be completed before final delivery.

  • Payments are accepted via approved methods such as UPI, bank transfer, PayPal, or other approved payment channels.

  • Project work may be paused if payments are delayed.

Invoices are due upon receipt unless otherwise stated.

7. Late Payments

Late payments may result in:

  • Suspension of project work.

  • Delayed delivery.

  • Additional administrative fees where legally permitted.

  • Temporary restriction of website access if outstanding balances remain unpaid.

8. Revisions

Projects include the number of revisions specified in the proposal.

Additional revisions beyond the agreed limit may incur additional charges.

Major changes that alter the original project scope will be treated as new work.

9. Ownership and Intellectual Property

Ownership of final deliverables transfers to the client only after full payment has been received.

Until full payment is received:

  • All designs remain the property of FreelanceWithDepu.

  • Source files remain under our ownership.

  • Usage rights are not granted.

After final payment:

  • The client receives rights to approved deliverables.

  • FreelanceWithDepu retains the right to showcase completed work in portfolios, case studies, and marketing materials unless otherwise agreed in writing.

10. Third-Party Services

Projects may involve third-party services including:

  • Hosting providers

  • Domain registrars

  • Payment gateways

  • Advertising platforms

  • Analytics tools

  • WordPress plugins

  • Premium themes

FreelanceWithDepu is not responsible for outages, pricing changes, policy changes, or technical issues caused by third-party providers.

11. Website Content Responsibility

Clients are solely responsible for the legality and accuracy of the content they provide.

Clients agree not to provide content that:

  • Violates copyright laws.

  • Contains defamatory material.

  • Promotes illegal activities.

  • Infringes intellectual property rights.

12. Project Delays

FreelanceWithDepu is not responsible for delays resulting from:

  • Missing client materials.

  • Delayed approvals.

  • Third-party service disruptions.

  • Technical issues outside our control.

  • Natural disasters or force majeure events.

13. Confidentiality

Both parties agree to keep confidential information private and secure.

Confidential information includes:

  • Business strategies

  • Login credentials

  • Financial information

  • Customer data

  • Internal project documentation

Confidentiality obligations survive project completion.

14. Portfolio Rights

Unless restricted by a signed NDA, FreelanceWithDepu reserves the right to display completed work in:

  • Portfolios

  • Case studies

  • Marketing materials

  • Social media promotions

15. Limitation of Liability

To the maximum extent permitted by law, FreelanceWithDepu shall not be liable for:

  • Loss of profits

  • Loss of revenue

  • Business interruption

  • Data loss

  • Indirect damages

  • Consequential damages

Maximum liability shall not exceed the amount paid by the client for the specific project.

16. Service Termination

Either party may terminate a project through written notice.

Termination does not eliminate payment obligations for completed work.

Any completed work remains chargeable.

17. Disclaimer

Services are provided on an "as-is" and "as-available" basis.

We do not guarantee:

  • Specific rankings on search engines.

  • Specific advertising results.

  • Specific sales outcomes.

  • Uninterrupted website availability.

18. Changes to These Terms

We reserve the right to modify these Terms & Conditions at any time.

Updated versions will be posted on this page with a revised effective date.

19. Governing Law

These Terms & Conditions shall be governed by and interpreted under the applicable laws of India.
